End User License Agreement

Product: NAD v2 — Network Architecture Designer ("Software") Licensor: Promethean Networks LLC ("Promethean Networks," "we," "us," "our") Effective date: September 29, 2026

This End User License Agreement ("EULA") is a legal agreement between you (or the organization you represent, "you") and Promethean Networks governing your use of the Software. By downloading, installing, activating a license key for, or using the Software, you accept this EULA. If you do not agree, do not install or use the Software.

1. Definitions

• Software — the NAD v2 desktop application and any modules ("Editions") you are licensed to use, including NAD Design, and, when released, NAD Operate and NAD Suite, together with updates we provide.
• License Key — the activation credential (e.g., a key in the form TIER-XXXX-XXXX-XXXX-XXXX) that enables the Software for the term and seats of your Subscription.
• Subscription — your paid or trial plan (Solo or Team) governing scope, seats, and term, as described in our Terms of Service.
• Output — the network designs, diagrams, configurations, bills of materials, and other materials the Software generates from your inputs.

2. License Grant

Subject to your active Subscription and your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business purposes: - Solo — for use by one (1) named individual. - Team — for use by the number of named users (seats) covered by your Subscription.

3. License Keys and Activation

License Keys are personal to your Subscription, are tied to your seats, and may not be shared, sold, sublicensed, or transferred. You are responsible for keeping your License Key confidential. The Software may periodically validate your License Key with our license server; a lapsed, expired, or revoked Subscription will disable licensed functionality.

4. Restrictions

You will not, and will not permit others to: (a) copy, distribute, sublicense, rent, lease, or resell the Software; (b) reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by law; (c) circumvent, disable, or tamper with license validation, seat limits, or usage controls; (d) remove or alter any proprietary notices; or (e) use the Software to develop a competing product.

5. Ownership

The Software and all intellectual property rights in it are and remain owned by Promethean Networks and its licensors. Except for the license expressly granted, no rights are transferred to you. As between you and Promethean Networks, you own the Output you generate, subject to the rights of third parties in any third-party content it incorporates (see Section 6).

6. Third-Party Components, AI Processing, and Trademarks

• AI processing. The Software transmits inputs you provide (such as your network requirements) to third-party artificial-intelligence services (currently Anthropic's Claude API) to generate Output, and may use web-search services to retrieve pricing data. You are responsible for the inputs you submit and must not submit sensitive, classified, regulated, or personal data you are not authorized to disclose to third-party processors. • Pricing data. Bill-of-materials pricing is generated from automated sources and AI estimation, is provided for planning only, is not a quote or offer, and may be inaccurate or out of date.
• Trademarks and stencils. Product names, part numbers, diagram stencils, and trademarks of third parties (for example, Cisco) belong to their respective owners and are used for identification and interoperability only. Your use of Output that references third-party products is subject to those owners' terms.

7. Professional Review Required

The Software is a design-assistance tool. Output is AI-assisted and must be independently reviewed and validated by a qualified network engineer before being relied upon or deployed in any production environment. You are solely responsible for the design, configuration, security, and operation of any network you build.

8. Updates

We may provide updates, patches, or new versions of the Software. This EULA governs all updates unless an update is accompanied by a separate agreement.

9. Term and Termination

This EULA is effective until terminated. It terminates automatically if your Subscription ends or if you breach any term. On termination you must stop using and remove the Software. Sections 4–7 and 10–13 survive termination.

10. Disclaimer of Warranties

THE SOFTWARE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT IS ACCURATE, COMPLETE, SECURE, OR SUITABLE FOR DEPLOYMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMETHEAN NETWORKS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SOFTWARE OR OUTPUT. OUR TOTAL LIABILITY UNDER THIS EULA WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SUBSCRIPTION IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

12. Export and Compliance

You represent that you are not located in, and will not use or export the Software in violation of, any applicable export-control or sanctions laws.

13. Governing Law

This EULA is governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in the State of Maryland.
