Terms of Service

Provider: Promethean Networks LLC ("Promethean Networks," "we," "us," "our") Services: the prometheannetworks.com website, the NAD v2 software, and related services (collectively, the "Services") Effective date: September 29, 2026

By creating an account, starting a free trial, purchasing a subscription, or using the Services, you agree to these Terms of Service ("Terms"). If you are using the Services for an organization, you represent that you have authority to bind that organization.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services.

2. Accounts

You are responsible for the information you provide, for activity under your account, and for keeping your credentials and License Keys secure. Notify us promptly of any unauthorized use.

3. Free Trial

We may offer a 7-day free trial of NAD Design. The trial provides time-limited access so you can evaluate the Software before paying. Unless stated otherwise at sign-up, the trial does not require a payment method and does not automatically convert to a paid subscription — access ends when the trial period expires unless you purchase a Subscription. Trials are limited to one per customer and may not be combined or extended except at our discretion.

4. Subscriptions, Billing, and Auto-Renewal

• Plans. Subscriptions are offered as Solo or Team, per module (NAD Design available now; NAD Operate and NAD Suite when released), billed annually in advance.
• Payment. Payments are processed by our third-party processor, Stripe. You authorize us (via Stripe) to charge your payment method for the applicable fees and taxes.
• Auto-renewal. Subscriptions renew automatically for successive one-year terms at the then-current price unless you cancel before the renewal date. We will make renewal terms available to you; where required by law, we will provide advance notice of renewal or price changes.
• Price changes. We may change prices; changes apply to renewals after we provide notice.
• Taxes. Fees are exclusive of applicable taxes, which you are responsible for.

5. Cancellation and Refunds

You may cancel at any time; cancellation stops future renewals and takes effect at the end of your current paid term. Refunds, where available, are governed by our Refund Policy.

6. License to the Software

Your use of the NAD v2 software is licensed, not sold, and is governed by our End User License Agreement (EULA), which is incorporated into these Terms. In the event of a conflict regarding the Software, the EULA controls.

7. Acceptable Use

You will not: (a) use the Services unlawfully or to infringe others' rights; (b) attempt to gain unauthorized access to, disrupt, or overload the Services or our license server; (c) circumvent seat limits or license validation; (d) resell or provide the Services to third parties except as your Subscription permits; or (e) submit to the Services any data you are not authorized to disclose to third-party processors.

8. AI-Assisted Output

The Software uses artificial-intelligence and automated data services to generate designs, configurations, and pricing. Output is AI-assisted, may contain errors, and is provided for planning purposes only. Bill-of-materials pricing is an estimate, not a quote. You are responsible for independently reviewing and validating all Output with a qualified professional before deployment.

9. Intellectual Property

We and our licensors own the Services and all related intellectual property. You own the Output you generate, subject to third-party rights as described in the EULA. Feedback you provide may be used by us without obligation to you.

10. Third-Party Services

The Services rely on third parties including Stripe (payments), Anthropic (AI processing), SendGrid (email), and our hosting provider. Your use of the Services may be subject to those providers' terms, and we are not responsible for third-party services.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMETHEAN NETWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

13. Indemnification

You will indemnify and hold Promethean Networks harmless from claims arising out of your use of the Services, your Output, or your breach of these Terms, to the extent permitted by law.

14. Termination

We may suspend or terminate the Services or your access for breach of these Terms or the EULA, non-payment, or as required by law. On termination, your right to use the Services ends; Sections 8–15 survive.

15. Changes to These Terms

We may update these Terms. Material changes will be notified through the Services or by email, and take effect as stated in the notice. Continued use after changes constitutes acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in the State of Maryland.
